This Terms of Use (these "Terms" or "Term of Use") are entered into by and between you (collectively, "you" or "your") and DCOREUM (collectively, "DCOREUM", "we", "us", or "our", or any similar term) and govern the access and the use of the DCOREUM Website located at https://DCOREUM.io, our Product and Services and our Application (collectively, the "Site"). By accessing, downloading, using or clicking on "I agree" to these Terms, you agree that you have read, understood and accepted all of the terms and conditions stipulated in these Terms as well as our Privacy Policy. In addition, when using some features of the Services, you may be subject to specific additional terms and conditions applicable to those features. We reserve the right, in our sole discretion, to make changes or modifications to these Terms of Use at any time and for any reason. Any substantive amendments or revision to the Terms, as determined by our sole discretion, will be notified by sending you the notice to the email you associated with us. You will be subject to and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms of Use by your continued use of the Site, after the date such revised Terms of Use are posted. DCOREUM Site provides User the accessibility to the services related to crypto asset, including but limited to M2E, staking, and other relevant services available through the Site.

About Security

DCOREUM takes security very seriously and the measures we have in place to protect your DCOREUM Account. However, you are solely responsible for:

  1. maintaining adequate security and control over your DCOREUM Account sign-in details, including but not limited to any emails, passwords, wallets, private keys, or any other login credentials associated with your DCOREUM Account;
  2. keeping your contact details up to date so that you can receive any notices or alerts we may send to you in relation to security; and
  3. maintaining security and control over the email mailbox associated with your DCOREUM Account.

Failure to take the above measures, and any other security measures available to you, may result in unauthorized access to your DCOREUM Account and the loss or theft of any digital asset held in your DCOREUM Wallet. DCOREUM shall have no liability to you for or in connection with any unauthorized access to your DCOREUM Account, where such unauthorized access was due to no fault of DCOREUM, and/or any failure by you to act upon any notice or alert that we send to you.
The security of your DCOREUM Account may be compromised, or interruption caused to it, by phishing, spoofing or other attack, computer viruses, spyware, scareware, Trojan horses, worms or other malware that may affect your computer or other equipment. DCOREUM strongly recommends that you regularly use reputable virus screening and prevention software and remain alert to the fact that SMS, email services and search engines are vulnerable to spoofing and phishing attacks. You should immediately notify DCOREUM about any unusual, suspicious, unclear or abnormal changes in relation to your DCOREUM Account, or any unauthorized use of your DCOREUM Account, or any security breaches in relation to your DCOREUM Account.
To the maximum extent permitted by applicable law, you accept and agree that you have full responsibility for all activity that occurs in or through your DCOREUM Account and accept all risks of any unauthorized or authorized access to your DCOREUM Account.

Risk

By accessing, using, or participating in the Services, you expressly understand and are aware of the inherent risks associated with crypto asset and cryptographic system, and you will be fully liable at your own risk. This clause shall not be exhaustive and does not disclose all the risks associated with crypto assets, Products, and the use of Services.
You acknowledge and agree that any crypto assets, blockchain technology or distributed ledger technology related Project are relatively new and shall be outside of both our and our Project’s exclusive control. Any adverse changes in market forces and the technology and regulatory environment, including but not limited to hacking attacks, possible theft, unfavorable regulatory action, or unclear legal status of crypto assets, that impacts our performance under this agreement, shall absolve us from responsibility in this regard.
You acknowledge and understand that cryptography is a progressing field, where advances in code cracking or technical advances such as the development of quantum computers may present risks to cryptocurrencies, the Services or the Site, which could result in the theft or loss of your crypto assets. By using the Service or accessing this Site, you acknowledge these inherent risks.

Unlawful or Prohibited Use

In consideration for your use of this Site, you will comply with all applicable laws, statutes, ordinance and regulations regarding your use of our service and any related activities. In addition, you warrant that you will not use this Web Site for any purposes that is unlawful or prohibited in law or by these terms, conditions and notices. You agree you will not:

  1. participate in any part of the Site if you are under the age of 18;
  2. send, upload, post, email, transmit or otherwise make available any content that is false, unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive if anothers' privacy, hateful, or racially, ethnically or otherwise objectionable as determined by us in our sole discretion;
  3. send, upload, post, email, transmit or otherwise make available any material that contains software viruses, or any other computer code, file or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
  4. send, upload, post, email, transmit or otherwise make available any content that is unlawful or infringes, violates or misappropriates any patent, trademark, trade identity right, trade secret, publicity right, privacy right, copyright or any other intellectual property or any other rights of any third party;
  5. send, upload, post, email, transmit or otherwise make available any viruses, Trojan horses or other harmful, disruptive or destructive files or material that interferes with any third party's use and enjoyment of the Site;
  6. undertake, facilitate or support criminal activity of any kind, including but not limited to, money laundering, terrorist financing, illegal gambling operations or malicious hacking;
  7. participate in any fraudulent activity, including but not limited to taking any actions that defraud DCOREUM or a DCOREUM customer, or the provision of any false, inaccurate, or misleading information to DCOREUM;
  8. take part in any transactions involving items that may help facilitate or enable illegal activity; promote or facilitate hate, violence or racial intolerance, are considered obscene, or may be stolen goods or the proceeds of crime;
  9. collect or harvest the information of any other user or otherwise access the Site using automated means (including but not limited to harvesting bots, robots, spiders or scrapers);
  10. interfere with or disrupt the service or services or networks connected to the service, or disobey any requirements, procedures, policies or regulations of the networks connected to the service.

We reserve the right to restrict, suspend or terminate your DCOREUM Account if we suspect, in our sole discretion, that you are using, or have used, your DCOREUM Account in association with any of the activities listed above, or any similar or related activity, without having obtained the prior written approval of DCOREUM. You shall not be entitled to any compensation or indemnification for loss of rights, goodwill or otherwise, as a result of the restriction, suspension or termination in accordance with these Terms.

PROPRIETY AND INTELLECTUAL PROPERTY RIGHTS

This Site and all of the content it contains, or may in the future contain, including but not limited to articles, opinions, other text, directories, guides, photographs, illustrations, images, video and audio clips and advertising copy, as well as the trademarks, copyrights, logos, domain names, code, trade names, service marks, patents and any and all copyrightable material (including source and object code) and/or any other form of intellectual property (collectively, the "Material") are owned by or licensed to us or other authorized third parties and are protected from unauthorized use, copying and dissemination by copyright, trademark, publicity and other laws and by international treaties.
Unless expressly permitted in writing by us, you shall not capture, reproduce, perform, transfer, sell, license, modify, create derivative works from or based upon, republish, reverse engineer, upload, edit, post, transmit, publicly display, frame, link, distribute, or exploit in whole or in part any of the Material. The company is unable to anticipate the occurrence of hacks, cyber-attacks, M2E attacks, stolen private key or seed phrases, distributed denial of service attacks or errors, vulnerabilities, or defects on the Site, crypto assets, Users’ digital wallets, or any other technology, including but not limited to smart contract technology or stacking technology etc.
We shall not be liable for any delay or failure in performance of the Site and/or the Services, or any loss or damage that you may incur, due to any circumstance or event beyond our reasonable control, including but not limited to any act of God, act of civil or military authorities, act of terrorist, action of government, civil disturbance, war, strike or other labour dispute, fire, interruption in telecommunications or network, failure of equipment and/or software, other catastrophe, or any other occurrence which is beyond our control.
To the maximum extent permitted by law, we and the released parties disclaim liability for any damages including without limitation, direct or indirect, special, incidental, compensatory, exemplary or consequential damages, losses or expenses, including without limitation lost or misdirected orders, lost profits, lost registrations, lost goodwill, or lost or stolen programs or other data, however caused and under any theory of liability arising out of or in connection with:

  1. use of this site, or inability to see this site by any party;
  2. acts or omission of any party for whom the Company is not responsible for;
  3. acts of God, nature, court or government;
  4. any failure or interruption of public or private telecommunication networks, the failure of BNB Smart Chain Network, communication channels or information systems;
  5. any failure or performance, error, omission, interruption, defect, delay in operation or transmission; and
  6. line or system failure or the introduction of a computer virus, or other technical sabotage, even if we or our employees or representatives are advised of the possibility or likelihood of such damages, losses or expenses.

This limitation of liability section shall apply to the fullest extent permitted by law in the applicable jurisdiction whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if company has been advised of the possibility of such damage.
Some jurisdictions do not allow the exclusion or certain warranties or the limitation or exclusion of liability for incidental or consequential damages, therefore the above limitations or exclusions may not apply to User.

DISPUTE RESOLUTION AND GOVERNING LAW

These Terms in this agreement shall be governed by and construed in accordance with the laws of Malaysia, as applicable, without regard to conflict of its law rules or principles. You hereby expressly agree to waive any objections as to the choice of law or forum on any legal or factual grounds whatsoever. All disputes, claims or controversies arising out of or in connection with these Terms, may, at the option of DCOREUM be referred to arbitration in lieu of the above, in which case the choice of law shall be Malaysian Law, to be conducted in English language.

Indemnification

BY USING THIS SITE YOU AGREE TO INDEMNIFY, DEFEND AND HOLD THE RELEASED PARTIES HARMLESS FROM AND AGAINST ANY THIRD PARTY CLAIMS, ALLEGED CLAIMS, DEMANDS, CAUSES OF ACTION, JUDGMENTS, DAMAGES, LOSSES, LIABILITIES, AND ALL COSTS AND EXPENSES OF DEFENSE, INCLUDING, WITHOUT LIMITATION, REASONABLE ATTORNEYS' FEES, ARISING OUT OF OR RELATING TO: YOUR BREACH OF YOUR REPRESENTATIONS, WARRANTIES, COVENANTS OR AGREEMENTS HEREUNDER; YOUR VIOLATION OF THIS AGREEMENT OR ANY LAW; YOUR USE OF THIS SITE AND/OR THE MATERIAL IN VIOLATION OF THIS AGREEMENT; INFORMATION OR MATERIAL POSTED OR TRANSMITTED THROUGH YOUR COMPUTER OR MEMBERSHIP ACCOUNT, EVEN IF NOT SUBMITTED BY YOU, THAT INFRINGES ANY COPYRIGHT, TRADEMARK, TRADE SECRET, TRADE DRESS, PATENT, PUBLICITY, PRIVACY OR OTHER RIGHT OF ANY PERSON OR DEFAMES ANY PERSON; ANY MISREPRESENTATION MADE BY YOU; AND/OR OUR USE OF YOUR INFORMATION.
